Each addendum adds to the Wise Terms of Service for customers established in that region. Delaware law still governs everywhere; the addenda only add what local law makes mandatory.
Each addendum applies when the Customer is established in, or has its main place of business in, that region. It forms part of the Agreement and prevails over the Terms where they conflict (Terms Section 1.3). The base contracting entity (Wise Leap Technologies, Inc.) and Delaware governing law do not change. Capitalized terms have the meanings given in the Terms. Each addendum is published as its own page at wise.live/legal/uk, wise.live/legal/eu, wise.live/legal/au and wise.live/legal/us.
AU.1 Scope. This Australia Addendum applies if you are established in Australia.
AU.2 Australian Consumer Law. The Service comes with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010). These guarantees can apply to business customers, including where the price of the services is A$100,000 or less. Nothing in the Agreement excludes, restricts or modifies those guarantees or any other right that cannot lawfully be excluded. Terms Sections 5.2, 16 and 17 apply subject to this section.
AU.3 Limited remedy. Where the law allows Wise to limit its liability for a failure to comply with a consumer guarantee, and the services are not of a kind ordinarily acquired for personal, domestic or household use, Wise's liability is limited, at Wise's option, to supplying the services again or paying the cost of having them supplied again.
AU.4 Changes and suspension. Wise will only make changes under Terms Section 20, or suspend under Terms Section 15.4, where reasonably necessary to protect its legitimate interests. For a change that is materially detrimental to you, you may terminate before it takes effect and receive a pro-rata refund of prepaid Fees.
AU.5 Privacy. For Customer Data subject to the Privacy Act 1988 (Cth), the DPA applies. Each party will comply with the Australian Privacy Principles as they apply to it. Wise will notify you of any eligible data breach in time for you to meet your obligations under the Notifiable Data Breaches scheme. Wise will update this section when the Children's Online Privacy Code takes effect.
AU.6 Electronic messages. If you use the Service to send commercial electronic messages, you are responsible for complying with the Spam Act 2003 (Cth), including consent, sender identification and unsubscribe requirements.
AU.7 GST. Fees exclude GST unless stated otherwise. Where GST applies to a supply under the Agreement, Wise may add it to the Fees and will provide a tax invoice where required.
