Each addendum adds to the Wise Terms of Service for customers established in that region. Delaware law still governs everywhere; the addenda only add what local law makes mandatory.
Each addendum applies when the Customer is established in, or has its main place of business in, that region. It forms part of the Agreement and prevails over the Terms where they conflict (Terms Section 1.3). The base contracting entity (Wise Leap Technologies, Inc.) and Delaware governing law do not change. Capitalized terms have the meanings given in the Terms. Each addendum is published as its own page at wise.live/legal/uk, wise.live/legal/eu, wise.live/legal/au and wise.live/legal/us.
US.1 Scope. This US Addendum applies if you are established in the United States.
US.2 Student and children's data. If you are a school, district or other educational agency, or you use the Service with children under 13, Schedule US of the DPA applies. It covers FERPA, COPPA and state student privacy laws. Under it, Wise acts as a school official for education records, and uses student data only to provide the Service, never for targeted advertising or sale.
US.3 Public institutions. If you are a public school, university or other government body, and the law prohibits you from agreeing to any part of Terms Section 18 (Indemnities) or Section 19 (Governing law and disputes), that part applies only to the extent the law permits. Delaware law still governs everything else.
US.4 Automatic renewal. Wise will clearly disclose the renewal terms, price and renewal period when you buy a paid plan. You can cancel online from your account settings. For annual plans, Wise will remind you by email 30 days before renewal.
US.5 Calls, texts and email. If you use the Service to send texts, make calls or send email to your End Users, you are responsible for complying with the Telephone Consumer Protection Act, the CAN-SPAM Act and similar state laws. That includes obtaining prior express consent for automated texts and honouring opt-outs. This applies whether you use Wise's messaging tools or your own account with a provider such as Twilio.
US.6 Sales tax. Fees exclude sales, use and similar taxes. Wise will add them where it is required to collect them in your state, unless you provide a valid exemption certificate.
