EU Addendum

Each addendum adds to the Wise Terms of Service for customers established in that region. Delaware law still governs everywhere; the addenda only add what local law makes mandatory.

How the addenda work

Each addendum applies when the Customer is established in, or has its main place of business in, that region. It forms part of the Agreement and prevails over the Terms where they conflict (Terms Section 1.3). The base contracting entity (Wise Leap Technologies, Inc.) and Delaware governing law do not change. Capitalized terms have the meanings given in the Terms. EU Addendum

EU.1 Scope. This EU Addendum applies if you are established in the European Economic Area.

EU.2 Data protection. For Customer Data subject to the GDPR, the DPA applies together with the EU Standard Contractual Clauses (Module 2, and Module 3 for onward transfers), as completed in the DPA. For the purposes of the Standard Contractual Clauses only, the governing law and courts are those of Ireland.

EU.3 Digital Services Act. To the extent the Service is a hosting service under Regulation (EU) 2022/2065:

• Wise's single point of contact for authorities and users is info@wiseapp.live, in English.
• Anyone can report illegal content to info@wiseapp.live, with the information Article 16 requires. Wise will process reports diligently and without undue delay.
• If Wise removes content or restricts an account, it will give the affected user a clear statement of reasons, unless the law prevents this.
• Wise moderates content by reviewing reports and, where needed, removing content or restricting accounts under Terms Sections 11 and 15.4. Wise does not use automated tools for this.

EU.4 AI Act. For AI Features, Wise is the provider and you are the deployer under Regulation (EU) 2024/1689. Wise will tell you which features use AI and give you the information and instructions for use that the AI Act requires. You will ensure your staff who use AI Features have sufficient AI literacy, and you will keep a person reviewing AI Output. You must not use AI Output alone to evaluate learning outcomes, or decide on admission or access. If you want to use AI Features for those purposes, contact Wise first, because additional high-risk obligations may apply.

EU.5 Switching and data portability. Under the Data Act (Regulation (EU) 2023/2854):

• You may switch to another provider or to your own systems on up to 2 months' notice.
• Wise will support a transition period of up to 30 days, during which the Service keeps running and you can export your exportable data and digital assets in a structured, commonly used, machine-readable format.
• After the transition period, and a further 30-day retrieval period, Wise will delete your data as set out in the DPA.
• Wise does not charge switching fees.

EU.6 Liability. Nothing in the Agreement limits or excludes liability that cannot be limited or excluded under the law that mandatorily applies, including liability for intent or gross negligence.

EU.7 VAT. Fees exclude VAT. For business customers with a valid VAT number, the reverse-charge mechanism applies. You will give Wise your VAT number when you sign up.
